We are delighted with this transaction, which combines two highly complementary membership associations businesses to better leverage the reach of both bodies and their ability to influence consulting and governance practice. The combined membership body will benefit from the integration of the CGAI’s expertise in the governance space with the IMCA’s contributions to business practice through its consulting members and the diverse businesses they support.

Background
The boards of both companies have agreed entered into a conditional agreement with the Institute of Management Consultants and Advisers (IMCA) for the Corporate Governance Association of Ireland (CGAI) operate as a Special Interest Group (SIG) within the organisation. A Governance SIG represents a powerful mechanism to engage the Irish business community to increase awareness and generate interest in business and governance best practice.
Rationale
As a small but highly focused membership body – the CGAI board recognised that to reach its full potential it needed to improve its reach into the broader business community. Following a strategic
analysis – its board recognised that operating as a Special Interest Group (SIG) on Governance within a larger entity having its main objects similar to the main objects of the CGAI would help it better achieve its objectives and offer more benefits to its member body. The IMCA was one of several suitable bodies reviewed with respect to their charters and ethos, subsequently the board held.
discussions with a number of these before concluding that the IMCA was the optimal partner.
Meanwhile the IMCA had been examining the deepening of its investment in SIG’s and to governance related themes. Both bodies believe that this relationship will ensure that CGAI and IMCA remain highly relevant within their focus areas, while its combined membership body will gain significantly with access to broader business groups and their specific policy initiatives.
Management and Governance
The CGAI will continue to maintain a small presence on its existing website but will operate as a SIG under the Institute of Management Consultants and Advisers (IMCA) with its registered office address at Unit 9 Bailey House, The Courtyard, Fonthill Business Park, Dublin 22 D22 XK59, Ireland.
The Corporate Governance Association of Ireland (CGAI) – will be dissolved (Subject to approval by its members) and this will be completed under the direction of its Company Secretarial partner.

The IMCA also awards Fellowships (FIMCA) and is the portal for achieving Chartered designation (ChMC) here in Ireland. It currently has 23 Masters (QQI 9) level courses accredited across the 3rd level sector in Ireland. IMCA membership is reciprocally recognised and professionally accepted across the globe in multiple jurisdictions.
